1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and Integrated Quantum Technologies Inc., concerning your access to and use of https://www.integratedquantum.com, including any related media form, media channel, mobile website, or mobile application, collectively referred to as the Site.

By accessing the Site, you agree that you have read, understood, and agreed to be bound by these Terms of Use. If you do not agree with all of these Terms of Use, you are expressly prohibited from using the Site and must discontinue use immediately.

Supplemental terms or documents posted on the Site from time to time are incorporated by reference. We reserve the right to modify these Terms of Use at our sole discretion. Changes will be reflected by updating the Last Updated date. Your continued use of the Site constitutes acceptance of the revised terms.

The Site is not intended for distribution or use in any jurisdiction where such use would violate applicable laws or regulations. Users accessing the Site from other locations do so at their own risk and are responsible for compliance with local laws.

The Site is not designed to comply with industry specific regulations including HIPAA, FISMA, or GLBA. If your use would be subject to such laws, you may not use the Site.

The Site is intended for users who are at least 18 years old. Users under 18 are not permitted to access or register for the Site.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and all content, including source code, databases, software, designs, text, graphics, audio, video, and trademarks, are owned or licensed by Integrated Quantum Technologies Inc. and protected under applicable intellectual property laws.

The content and trademarks are provided for personal and non commercial use only. No part of the Site may be copied, reproduced, distributed, or exploited without prior written permission.

You are granted a limited, non transferable license to access and use the Site for personal use only. All rights not expressly granted are reserved.

3. User Representations

By using the Site, you represent that

• You are not a minor in your jurisdiction

• You will not use automated or non human means to access the Site

• You will not use the Site for unlawful purposes

• Your use will comply with all applicable laws

Providing false or incomplete information may result in suspension or termination of access.

4. Prohibited Activities

You may not use the Site for any purpose other than its intended use. Prohibited activities include, but are not limited to

• Collecting data without permission

• Attempting to gain unauthorized access

• Circumventing security features

• Harassing or harming others

• Uploading malicious code

• Using automated systems such as bots or scrapers

• Impersonating another person

• Using the Site for competing or commercial purposes

Violation of these restrictions may result in termination of access.

5. User Generated Contributions

The Site does not currently offer users the ability to publicly post content. If Contributions are permitted, you represent and warrant that your Contributions

• Do not infringe third party rights

• Are accurate and lawful

• Are not misleading, abusive, or obscene

• Do not violate privacy or child protection laws

Any violation may result in removal or termination of access.

6. Contribution License

You grant us the right to access, store, process, and use information you provide in accordance with our Privacy Policy.

Feedback and suggestions may be used without compensation. You retain ownership of your Contributions but remain solely responsible for them.

7. Mobile Application License

If you access the Site via a mobile application, you are granted a limited, revocable license for personal use only. You may not reverse engineer, modify, or use the application for competitive or commercial purposes.

Apple and Android distributor terms apply. App distributors are third party beneficiaries of this license.

8. Submissions

Any questions, comments, suggestions, ideas, or feedback provided to us become our sole property and may be used for any lawful purpose without acknowledgment or compensation. You waive all moral rights to such Submissions.

9. Third Party Websites and Content

The Site may contain links to third party websites or content. We do not control or endorse third party content and are not responsible for accuracy, legality, or practices. Accessing third party sites is at your own risk.

10. Site Management

We reserve the right to monitor the Site, restrict access, remove content, and take appropriate legal action to protect the Site and our rights.

By using the Site, you agree to be bound by the Privacy Policy. The Site is hosted in the United States, and by accessing it you consent to the transfer and processing of your data in the United States.

12. Term and Termination

These Terms remain in effect while you use the Site. We reserve the right to suspend or terminate access at any time without notice for any violation of these Terms or applicable law.

13. Modifications and Interruptions

We may modify or discontinue the Site at any time without liability. We do not guarantee uninterrupted availability or error free operation.

14. Governing Law

These Terms of Use are governed by the laws of the State of New Hampshire, without regard to conflict of law principles.

15. Dispute Resolution

Disputes shall first be addressed through informal negotiation. If unresolved, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association. Class actions and representative claims are not permitted.

16. Corrections

We reserve the right to correct errors, inaccuracies, or omissions on the Site at any time without notice.

17. Disclaimer

The Site is provided as is and as available. Use of the Site is at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

18. Limitations of Liability

Our liability is limited to the amount paid by you, if any, during the six month period preceding the claim. Certain jurisdictions may not allow these limitations.

19. Indemnification

You agree to indemnify and hold Integrated Quantum Technologies Inc. harmless from any claims arising from your use of the Site or violation of these Terms.

If a complaint is not satisfactorily resolved, California residents may contact the California Department of Consumer Affairs.

23. Miscellaneous

These Terms constitute the entire agreement between you and Integrated Quantum Technologies Inc. If any provision is unenforceable, the remaining provisions remain valid. No partnership or agency relationship is created.
